Terms of Service

Last updated 2026-10-11

1. Parties and scope

These Terms of Service (“Terms”) govern the purchase and use of the services provided by Oceanic Hub LLC, a single-member limited liability company organised under the laws of the State of Florida, United States of America, FEIN 35-2951175 (“Oceanic”, “we”), to the business or organisation that purchases them (the “Customer”).

Registered with the Florida Division of Corporations, document number L25000513650.

The services are offered exclusively to businesses and professionals acting in the course of their trade, business or profession. They are not offered to consumers. Anyone accepting these Terms on behalf of the Customer represents that they are authorised to bind it.

2. Service description

Oceanic provides:

  • The platform: an AI agent platform for marketing operations, whose agents perform tasks inside the Customer’s tools with the permissions the Customer grants, offered on a subscription basis.
  • Onboarding and implementation services (optional): set-up, configuration and integration work, which may be billed as a one-time setup fee.

The specific scope of each plan or service is as described in the order form, the signed agreement or the relevant online checkout page.

3. Ordering

Services may be ordered (a) through an order form or agreement signed with Oceanic, or (b) online, through this website’s checkout. By completing an online order, the Customer accepts these Terms.

If a signed agreement exists between Oceanic and the Customer, that agreement prevails over these Terms in the event of conflict; these Terms apply to anything the agreement does not address.

4. Fees, billing and payment

  • Prices are stated in US dollars (USD).
  • Monthly subscriptions are billed in advance and renew automatically each month until cancelled by the Customer.
  • One-time setup or implementation fees are billed upfront.
  • Payment is made by card or bank debit through our payment processor, Stripe.
  • By subscribing, the Customer authorises Oceanic to charge the payment method provided on a recurring basis for each billing period until the subscription is cancelled.
  • If a payment fails, Oceanic may suspend the service, after notifying the Customer, until the payment is made.
  • Prices exclude taxes. Applicable taxes (for example, sales tax or VAT) will be added where required.

5. Cancellation

The Customer may cancel its subscription at any time from the customer portal or by emailing studio@oceanic.cloud. Cancellation takes effect at the end of the current billing period, and the Customer keeps access until then. Partial months are not refunded, except as stated in the Refund & Cancellation Policy.

6. Price changes

Oceanic may change its prices by giving the Customer at least 30 days’ notice. The new price applies from the first billing period after that notice period. If the Customer does not agree, it may cancel before the change takes effect.

7. Acceptable use

The Customer agrees not to use the service to:

  • Engage in unlawful or fraudulent activity, or infringe third-party rights.
  • Send unsolicited commercial communications in breach of applicable law.
  • Introduce malicious code, attempt unauthorised access or interfere with the operation of the service.
  • Reverse engineer, resell or make the service available to third parties without written authorisation.

The Customer is responsible for the accounts, credentials and permissions it grants to the platform, and for ensuring that its use of the service complies with the laws that apply to it.

8. Customer data and confidentiality

The Customer retains ownership of the data it provides or gives access to (“Customer Data”). Oceanic processes Customer Data only to provide the service, in accordance with the Customer’s instructions and the Privacy Policy.

Each party will keep confidential the non-public information of the other party that it learns through the relationship, and will use it only for the purposes of these Terms. This obligation does not apply to information that becomes public through no fault of the receiving party, that the receiving party already lawfully knew, or whose disclosure is required by law.

9. Intellectual property

Oceanic retains all rights in the platform, its software, documentation and improvements. The Customer is granted a non-exclusive, non-transferable right to use the platform while its subscription is active.

The Customer retains ownership of its Customer Data.

10. AI-generated outputs

The service uses artificial intelligence and its outputs may contain errors or inaccuracies. The Customer is responsible for reviewing outputs and proposed actions before using or approving them, and for the decisions it makes based on them.

11. Warranty disclaimer

Except as expressly stated in these Terms or in a signed agreement, the service is provided “as is” and “as available”. To the extent permitted by law, Oceanic disclaims all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement, and does not warrant that the service will be uninterrupted or error-free.

12. Limitation of liability

To the extent permitted by law, Oceanic’s total liability arising out of these Terms or the service will not exceed the fees paid by the Customer to Oceanic in the 12 months preceding the event giving rise to the claim.

This limitation does not apply to damages caused by fraud, willful misconduct or gross negligence, to breaches of confidentiality obligations, to Customer's payment obligations, or to the extent applicable law does not permit liability to be limited.

Oceanic will not be liable for any indirect, special or consequential damages, lost profits, or loss of data or business.

13. Term and termination

These Terms apply for as long as the Customer has an active subscription or service. Either party may terminate the relationship if the other materially breaches these Terms and fails to cure the breach within a reasonable period after notice. Oceanic may suspend the service immediately in the event of use contrary to section 7.

14. Governing law and venue

These Terms are governed by the laws of the State of Florida, United States of America. The parties submit to the state and federal courts located in Miami-Dade County, Florida.
